How CAQA LMS subscriptions are established, billed, renewed, suspended and cancelled, and the support entitlements they include.
These Subscription Terms explain how organisations subscribe to CAQA LMS, part of CAQA Groups and a Career Calling International Pty Ltd (ABN 53 162 651 238) initiative, and how subscriptions are billed, renewed, suspended and cancelled. They apply together with the LMS Platform Terms, the Acceptable Use Policy and the Privacy Policy.
CAQA LMS serves registered training organisations, ELICOS colleges, higher education providers, enterprise learning teams and other organisations that need learning management platform support, course delivery infrastructure, learner tracking and digital learning administration tools. Subscriptions are entered into by organisations, not by individual learners. Learners access the platform through the subscribing organisation's tenant.
A CAQA LMS subscription typically includes a hosted tenant, an agreed number of user accounts or active learners, platform features as described in the subscription agreement, routine backups, platform updates and access to support as described in Support and Service Levels. Onboarding, data migration, custom integrations, bespoke development and content development can be scoped separately.
Subscriptions are established through a written proposal or agreement that records the plan, inclusions, term, fees and start date. Requesting a platform tour or making an enquiry through this website does not create a subscription. We encourage prospective clients to confirm inclusions in writing before signing.
No payments are taken through this website. There is no online checkout, shopping cart or payment gateway on this site, and you cannot purchase a subscription directly from a web page. Subscription fees are invoiced under the subscription agreement, usually monthly or annually in advance, and are payable by the due date and method stated on the invoice. Fees are stated in Australian dollars and, unless expressed otherwise, are exclusive of GST.
Unless the subscription agreement says otherwise, subscriptions renew for further terms at the end of each agreed term. We will give reasonable notice of any fee change that takes effect at renewal so that the client can decide whether to continue, adjust its plan or give notice of cancellation.
A client may cancel its subscription by giving the written notice stated in its subscription agreement. On cancellation, access to the tenant ends at the close of the paid period unless otherwise agreed. Before access ends, the client may request an export of its course content and learner records in a reasonable format, as described in the Data Processing and Security Notice. Data is then returned, deleted or de-identified in line with that notice and any legal retention obligations.
We may suspend access to a tenant, after reasonable notice where practicable, if invoices remain unpaid beyond the agreed terms, if use of the platform breaches the Acceptable Use Policy, or if suspension is necessary to protect the security or integrity of the platform or other clients. Access is restored once the issue is resolved. Suspension does not, of itself, extend the subscription term.
Because subscription fees pay for a period of hosted service, fees already invoiced for the current period are generally not refundable when a client cancels part-way through that period, except where the subscription agreement says otherwise, where CAQA LMS has failed to supply the service as agreed, or where a remedy is required by law. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that applies under the Australian Consumer Law. If a service failure amounts to a major failure, the client is entitled to the remedies the law provides.
Every active subscription includes access to our support channels, response targets by priority, and planned-maintenance notifications as described in Support and Service Levels. Some plans may include enhanced entitlements, such as named contacts or additional administrator training, which will be recorded in the subscription agreement.
Clients may upgrade or adjust their plan by agreement at any time. We may update these Subscription Terms from time to time; the current version is published on this page and material changes will be communicated to the client's nominated administrator before they take effect at the next renewal.
